1. Agreement
By creating an account or using Schedmo, you agree to these Terms. If you use Schedmo on behalf of a business, you confirm you are authorised to bind that organisation.
Your contracting provider is the Schedmo legal entity identified on your order form, checkout or invoice. If those documents do not identify the entity, ask us before purchasing. An order form and any product-specific terms form part of this agreement. If documents conflict, the order form prevails for its commercial details, then a signed data processing addendum, then these Terms.
2. Eligibility and accounts
You must be legally able to contract and provide accurate registration information. You are responsible for credentials, multi-factor authentication, user permissions and activity under your account, except to the extent caused by our breach. Tell us promptly about suspected unauthorised access. Accounts may not be shared except through the product’s authorised-user features.
3. The service
Schedmo provides appointment scheduling and business operations software. We may improve or change features, provided we do not materially reduce paid core functionality during a current term without a reasonable alternative or remedy. We do not promise uninterrupted operation, but will use reasonable care to maintain security and availability. Preview and beta features may be changed or withdrawn and should not be relied on for critical records.
4. Customer responsibilities and acceptable use
You are responsible for the lawfulness, accuracy and necessity of data you enter; your notices, consents and professional recordkeeping; and determining whether the service is suitable for your regulated activities. Do not use the service to break law, infringe rights, send unlawful or deceptive messages, introduce malicious code, evade security or usage controls, access another tenant, reverse engineer except where law permits, or create an unreasonable security or availability risk.
Schedmo is not an emergency, diagnostic or clinical decision system. Do not use booking messages for emergencies, and retain any specialist clinical record required by law or professional rules.
5. Fees, renewal and cancellation
Subscription pricing is billed according to your selected plan. Taxes, payment provider charges, and any third-party fees may apply separately. Paid subscriptions renew automatically for the selected monthly or annual interval until the workspace owner cancels them. The owner can cancel online from the Subscription page without contacting support.
Unless a mandatory law or an offer says otherwise, cancellation takes effect at the end of the current paid period and amounts already paid are not refundable. Access continues until that date. Metered usage, outstanding invoices, disputes and other charges incurred before the effective date remain payable. The owner may reverse a scheduled cancellation before the subscription ends.
We may change future-term prices by giving reasonable advance notice. You may cancel before the changed price takes effect. Nothing in these Terms excludes a refund, remedy or other right required by the Australian Consumer Law or another mandatory law.
6. Customer payments and communications
When you enable customer online payments, you authorise Stripe to deduct the Schedmo online payments fee from each successful online booking, invoice, or package payment and transfer it to Schedmo. The fee is 1% for Solo, Team, and Business plans, 0.75% for Scale, and 0.5% by default or a contracted rate for Enterprise/high-volume workspaces. The fee is taken from your connected-account proceeds and is not added to the amount presented to the patient as a card surcharge. Stripe processing, dispute, refund, currency conversion, and other provider fees are separate. The Schedmo fee does not apply to pay-in-person, externally processed, or Stripe Terminal card-present payments. When an eligible online payment is refunded through Schedmo, the associated Schedmo fee is returned proportionally through Stripe.
Marketing emails and SMS campaigns are charged separately from your subscription at the regional rates displayed before you confirm dispatch. Email is charged per provider-accepted message; SMS is charged per billable segment, so longer or Unicode messages can cost more. There is no included marketing-message allowance. Consent, frequency, fair-use and anti-abuse controls still apply. Taxes may apply. Current estimates and rates are shown in-product and may change on notice as permitted by law.
You are the merchant and sender for customer-facing payments and communications. You are responsible for lawful contact lists, required identification and consent, accurate content, and honouring unsubscribe and suppression requests. An operational message must be necessary and factual and must not be used to bypass a marketing choice. Acceptance of these terms does not constitute marketing consent. Clients choose email and SMS offers separately for each business. They can withdraw consent in their client portal profile or through the unsubscribe and preference links included in marketing messages. Essential service messages remain separate from those choices.
7. Privacy and customer data
Schedmo processes personal data in accordance with applicable data protection law, including the GDPR where applicable. Businesses remain data controllers for customer data they enter, and Schedmo acts as a processor for platform services.
You retain ownership of customer data and grant us a limited licence to host, copy, transmit and otherwise process it only to provide, secure and support the service, follow your lawful instructions, and meet legal obligations. Our Privacy Policy and, where applicable, Data Processing Addendum explain this handling.
8. Intellectual property and feedback
We and our licensors own the service, software, designs, documentation and related intellectual property. During your subscription we grant authorised users a limited, non-exclusive, non-transferable right to use the service for your internal business operations. You may use output and exports containing your data. If you provide feedback, we may use it without restriction or identifying you as its source.
9. Third-party services
Optional integrations such as Stripe and Xero are governed by their own terms and privacy practices. You authorise the data exchange needed for an integration you enable. We are not responsible for a third party’s independent service, but this does not limit our responsibility for our own conduct or our processor obligations.
10. Confidentiality and security
Each party must protect the other’s non-public confidential information with reasonable care and use it only for this agreement. This does not cover information lawfully known without restriction, independently developed, publicly available without breach, or lawfully received from another source. A legally compelled disclosure may be made after notice where lawful.
11. Suspension and termination
You may stop using or cancel the service as described above. We may suspend affected access where reasonably necessary to address a material breach, non-payment, unlawful use or a credible security risk. Where practicable, we will give notice and a reasonable opportunity to cure and limit a suspension to the affected feature or users. Either party may terminate for an uncured material breach or insolvency where law permits.
Cancelling a subscription does not delete workspace data. The workspace owner may export data and separately request permanent workspace erasure from Data & privacy settings. Personal-account deletion is separate from workspace erasure and may require ownership transfer first. A workspace closure enters settlement mode while final subscription invoices, customer balances, processing payments, refunds, disputes, package liabilities or Stripe balances remain. New booking and marketing activity is stopped, but payment, refund, payout and export tools remain available. Permanent erasure occurs only after the live settlement check is clear. We retain only the limited records described in our Privacy Policy and Data Processing Addendum after erasure, including records required for tax, accounting, consent, fraud prevention, legal claims and compliance evidence.
12. Warranties and mandatory rights
Each party warrants it has authority to enter this agreement. We will provide the service with due care and skill. Subject to rights that cannot be excluded, the service is otherwise provided without implied warranties, including that it will meet every specialised requirement or be error-free. Nothing excludes consumer guarantees, statutory warranties or remedies that law says cannot be excluded or limited.
13. Liability
To the extent permitted by law, neither party is liable for indirect or consequential loss, lost profit or lost opportunity that was not reasonably foreseeable. Any agreed liability cap is stated in the applicable order form. No exclusion or cap applies where unlawful, or to fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality, or a party’s infringement of the other’s intellectual property. Liability is reduced to the extent the other party caused or failed reasonably to mitigate the loss.
14. Changes and general terms
We may update these Terms for legal, security or service changes. We will give reasonable notice of a material adverse change. If you do not agree, you may stop using and cancel before it takes effect. Neither party may assign this agreement without the other’s consent, not to be unreasonably withheld, except with a corporate reorganisation or sale of substantially all relevant assets. Invalid provisions are narrowed or removed without affecting the rest; delay is not a waiver; and neither party is liable for delay outside its reasonable control.
The governing law and courts are those stated in your order form or checkout. If they are not stated, contact us before purchasing so the contracting entity and jurisdiction can be confirmed.
15. Contact and notices
Send legal notices to legal@schedmo.com and privacy requests to privacy@schedmo.com. We may send account notices to the workspace owner’s registered email or through the service. Notices are treated as received when delivered, subject to mandatory law.
